Welcome to GuitarXR Inc. These Terms of Service ("Terms") govern your access to and use of our services, websites, applications, and tools (collectively, "Services"). By accessing or using our Services, you agree to these Terms, including the binding arbitration clause and class action waiver described in the Dispute Resolution section.
1. Acceptance of Terms
By using GuitarXR Inc.’s Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you are prohibited from using our Services.
2. User Accounts
To access certain features of our Services, you must create an account providing accurate and complete information. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device.

4. User Responsibilities
4.1 Content Creation and Sharing

You retain all rights to your User Content but grant GuitarXR Inc a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the Services.
4.2 Music Licensing and Copyrights
You are solely responsible for ensuring you have the necessary rights, licenses, permissions, and consents to use and share all content you upload or share on our Services, including music and copyrighted material. GuitarXR Inc. assumes no responsibility for the licensing of music or copyrighted content uploaded by users. You agree to indemnify GuitarXR Inc against any claims or damages arising from copyright infringement or violation of intellectual property rights related to your User Content.
5. Prohibited Conduct
You agree not to engage in any of the following prohibited activities: (i) using the Services for any unlawful purpose; (ii) soliciting others to perform or participate in any unlawful acts; (iii) violating any international, federal, provincial, or state regulations, rules, laws, or local ordinances; (iv) infringing upon or violating our intellectual property rights or the intellectual property rights of others; (v) harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating, or discriminating based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (vi) submitting false or misleading information; (vii) uploading or transmitting viruses or any other type of malicious code; (viii) collecting or tracking the personal information of others; (ix) spamming, phishing, pharming, pretexting, spidering, crawling, or scraping; (x) using the Services for any obscene or immoral purpose; or (xi) interfering with or circumventing the security features of the Services.
6. Content Guidelines
GuitarXR Inc. reserves the right to remove any User Content that violates these Terms or is deemed offensive, harmful, unlawful, or inappropriate. We do not endorse any User Content submitted to the Services by any user or third party.
7. Limitation of Liability
GuitarXR Inc. and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services; any content obtained from the Services; unauthorized access, use, or alteration of your transmissions or content.
8. Dispute Resolution
Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the World Intellectual Property Organization (WIPO) in the jurisdiction where GuitarXR Inc. is incorporated. By agreeing to these Terms, you waive your right to participate in a class action lawsuit or class-wide arbitration.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of New Hampshire, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
